Laser Stream Media, Inc. ("LSM") agrees to provide the Services identified above on a month-to-month basis beginning on the first day of the billing cycle following execution of this Agreement. Services are delivered digitally. LSM will provide code to be installed by Client's website provider to activate the selected products on Client's website. Client agrees to forward the provided code to their website provider for installation within 2 business days of receipt.

This Agreement does not transfer any rights, licenses, or permissions for Client or Client's website provider to copy, share, alter, reverse-engineer, or redistribute any code, technology, data, or content provided by LSM without prior written consent from LSM.

This Agreement is month-to-month and remains in effect until terminated. Either party may cancel by providing 60 days written notice via email to the addresses on record.

Code Removal Requirement: Client must remove all LSM-provided code from their website on or before the final day of the cancellation period. Failure to remove code by that date renders the cancellation void, and Client remains liable for monthly fees until written confirmation of removal is received by LSM.

Signatory Departure: If the signatory is no longer employed by Client, written cancellation notice must be submitted by Client ownership or an authorized executive officer.

30-Day Risk-Free Period: Client may cancel within the first 30 days of the Agreement start date and receive a full refund of the first month's payment. This right expires at the end of Day 30.

Client agrees to pay the monthly fee set forth in this Agreement. LSM will issue an invoice on the first of each billing month. Payment is due within 15 days of the invoice date.

Late Payments: Balances unpaid after 15 days are subject to a 1.5% monthly finance charge (18% APR). LSM may suspend Services without liability until the account is brought current. Reinstatement requires payment of all outstanding balances and accrued finance charges.

Accepted Payment Methods: American Express, Visa, Mastercard, or business check. Auto-pay via credit card is available upon request.

Client has reviewed and approved all offers, messaging, and content associated with the selected Services. Client agrees to indemnify, defend, and hold harmless Laser Stream Media, Inc., its officers, employees, and agents from any claim, loss, or liability arising from:

• Representations or claims made in Client-approved content;
• Client's failure to comply with OEM, manufacturer, or applicable regulatory guidelines specific to their franchise(s);
• Client's failure to timely notify LSM of required compliance changes.

While LSM makes reasonable efforts to align content with standard automotive compliance practices, final compliance review and approval is the sole responsibility of Client. Client agrees to notify LSM in writing within 48 hours of identifying any compliance issue.

LSM performs all Services as an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.

LSM's total cumulative liability under this Agreement shall not exceed the total fees paid by Client in the three (3) months immediately preceding the event giving rise to the claim. LSM shall not be liable for indirect, incidental, consequential, or punitive damages of any kind.

This Agreement is governed by the laws of the State of Georgia. Any dispute shall be resolved in the state or federal courts located in Cobb County, Georgia. In any proceeding to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs.

This Agreement constitutes the entire understanding between the parties and supersedes all prior proposals, representations, or agreements, whether written or oral. Any modification must be made in writing and signed by both parties.
